Terms of Service

These Terms govern your use of the website, the clinic platform (on the web and in the KlyientAI mobile app), the AI receptionist, and the growth services provided by Neural Healthcare Solutions Private Limited, operating under the brand names Klyient.ai and KlyientAI ("we", "us", "our"; together, the "Services"). By creating an account, using the Services, or signing an engagement letter with us, you agree to these Terms. Our Privacy Policy explains how we handle information and forms part of these Terms.
1. Who we are
Klyient.ai is a brand of Neural Healthcare Solutions Private Limited, an Indian healthcare practice-growth company. We provide (a) a practice platform for clinics: appointments, patient records, treatment plans, invoicing, and patient communication on the clinic's own WhatsApp number; (b) an AI receptionist that answers patient enquiries on WhatsApp on the clinic's behalf, and Google Business Profile automation; and (c) for clinics on a Partnership plan, managed marketing services under a separate engagement letter.
2. Who may use the Services
The Services are for healthcare practices and the people who run them. You must be at least 18 and authorised to act for the clinic you register. You are responsible for everyone who uses the Services under your clinic's account.
3. Your account
- Sign-up. You create an account with your mobile number and a password, verified by a one-time code sent to your WhatsApp number. Partnership clinics are set up by our team.
- Security. Keep your password and your registered mobile number secure and tell us immediately of any unauthorised access. Activity under your account is your responsibility.
- Accuracy. The clinic details, doctor details, services, and prices you enter are what the AI receptionist tells your patients. Keep them accurate and current.
- Deleting your account. You can delete a self-serve account from the platform at any time. Deleting an account takes the clinic offline, stops all automated messaging, and removes your access; patient records stay available for export for 30 days and are then deleted per our Privacy Policy.
4. Plans, trial, and fees
- Plans. The platform is offered on the plans shown at sign-up and on our pricing page, currently EMR and Klyient Lite, billed monthly or quarterly, and Partnership, billed under an engagement letter. Each plan includes the features listed for it at the time of purchase.
- Free trial. New self-serve accounts start with a 7-day free trial of the plan chosen at sign-up. Nothing is charged until the trial ends. If you do not subscribe by then, the account moves to the free records-only mode described in section 5.
- Fees. Fees are stated in Indian Rupees and are exclusive of GST, which is charged in addition at the applicable rate. Third-party charges you incur directly, such as advertising spend on your own Google Ads account, are not part of our fees.
- Payment. Subscriptions are paid in advance through our payment provider and renew automatically for the same period until cancelled. You may cancel at any time from the platform; the subscription then ends at the close of the period already paid for. Except where the law requires otherwise, fees already paid are not refunded for partial periods.
- Fair use. The AI receptionist and messaging features are subject to fair use in line with a single clinic's normal patient volume. If usage is materially above that, we will contact you to agree a suitable plan before restricting anything.
- Price changes. We may change plan prices with at least 30 days' notice; a change applies from your next renewal.
5. Non-payment
If a renewal payment fails, we will notify you and retry for 7 days. If payment is still outstanding after that, the account moves to a free records-only mode: appointments and patient records remain available to you, while the AI receptionist, Google automation, and automated messaging pause until payment resumes. We never lock a clinic out of its own patient records for non-payment.
6. Connected accounts and messaging
- WhatsApp. Connecting your WhatsApp Business number links it to our platform through Meta's WhatsApp Business Platform and our provider Gupshup. You authorise us to send and receive messages on that number on the clinic's behalf. You remain responsible for complying with Meta's WhatsApp Business policies and with Indian messaging regulations, including obtaining any consent your patients' communication requires. Meta's approval of the number, display name, and message templates is outside our control and can take time.
- Google Business Profile. Connecting Google authorises us to read your listing, reply to reviews, and publish posts on it under the account you connect. You can disconnect at any time from the platform or from your Google account settings, after which the automation stops. Google's verification of a new listing is Google's process and outside our control.
- Your obligations. Only connect numbers, accounts, and listings that belong to your clinic. Do not use the Services to send unsolicited bulk messages, content that breaches platform policies or applicable rules (including DLT and TRAI requirements), or anything unlawful, defamatory, or infringing.
7. The AI receptionist
- The AI receptionist answers on your clinic's behalf using the information you provide and general knowledge for your specialty. It is designed to book consultations and answer routine questions, and it is instructed never to diagnose, prescribe, or give medical advice; to direct emergencies to emergency services; and to hand anything clinical to your team.
- AI systems can make mistakes. You remain responsible for all communication with your patients, for reviewing conversations, and for stepping in where needed. Replies from your own staff on WhatsApp pause the assistant for that conversation.
- Prices, discounts, hours, and doctor details quoted by the assistant come from what you entered. Any figure it gives a patient is a starting point subject to the doctor's consultation, and you may not rely on it as a commitment by us.
- Nothing in the Services is medical advice from us, and we are not a healthcare provider.
8. Your content and data
Your clinic retains ownership of all data you enter or connect: clinic details, patient records, treatment plans, invoices, conversations, listings, and files. You grant us a limited licence to process that data solely to provide the Services. For patient data, your clinic is the Data Fiduciary and we act as a Data Processor under India's Digital Personal Data Protection Act, 2023, as set out in our Privacy Policy. Obtain any consents your patients' data and your local regulations require before entering personal health information.
9. Our commitments
- Availability. We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is announced in advance where practical.
- Security. We apply reasonable security practices: encryption in transit, encrypted storage of connected-account credentials, access controls, and audit logging for sensitive operations.
- Support. Self-serve plans include support over WhatsApp and email during business hours. Partnership plans include the support set out in the engagement letter.
10. Prohibited use
You agree not to reverse-engineer, decompile, or extract source code from the platform; upload malicious code or attempt to circumvent access controls; interfere with the operation of the Services; scrape or resell the Services; or misrepresent a clinic you do not own or operate.
11. Intellectual property
Klyient.ai, KlyientAI, our logos, and the platform's code, design, prompts, and copy are our intellectual property and remain ours. Your clinic's brand, logo, website content, and patient records remain yours. Creative assets we produce under a Partnership engagement transfer to you on full payment unless the engagement letter states otherwise.
12. Termination
- By you. Cancel a subscription or delete your account at any time from the platform. Partnership engagements end per the engagement letter, ordinarily on 30 days' written notice after the initial term.
- By us. We may suspend or terminate an account that materially breaches these Terms, puts patients or other users at risk, breaches platform policies that put our messaging infrastructure at risk, or shows no activity for 12 consecutive months. Where practical we will warn you first.
- On termination. Automated messaging stops and connected accounts are disconnected. Your data is available for export for 30 days, then deleted from active systems per our retention schedule.
13. Disclaimers
The Services are provided "as is". We do not warrant that the Services will achieve specific patient-acquisition, booking, or revenue outcomes. Outcomes depend on factors outside our control, including platform policies, approval timelines, competitor activity, and market conditions.
14. Limitation of liability
To the extent permitted by law, our aggregate liability arising out of or in connection with the Services is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill, and we are not liable for any clinical decision or patient outcome.
15. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these Terms. This obligation survives termination for 3 years.
16. Changes
We may update these Terms from time to time. Material changes will be communicated to registered clinics at least 15 days before taking effect, and the "Last updated" date above will change. Continued use after the effective date constitutes acceptance.
17. Governing law and jurisdiction
These Terms are governed by the laws of India. Courts at New Delhi have exclusive jurisdiction over disputes, subject to mandatory provisions of applicable law.
